Terms and Conditions


1. Introduction


These Terms and Conditions ("Agreement") govern the provision of services by Shaffer Engineering, LLC ("Company") to the client ("Client"). By engaging the Company's services, the Client agrees to be bound by this Agreement.


2. Services


The Company offers electrical and controls engineering services, including but not limited to:


Industrial control schematic design

Schematic review

Programming assistance for control applications

The specific services to be provided will be detailed in individual proposals or statements of work.


3. Fees and Payment


Fees: The fees for services will be outlined in the proposal or statement of work provided to the Client.

Payment Terms: Payment terms are subject to credit approval and may vary based on the Client’s creditworthiness. Specific payment schedules and terms will be detailed in the proposal or invoice provided to the Client. Invoices are typically payable within 30 days of receipt unless otherwise specified. Late payments may incur interest at a rate of 1.5% per month on overdue amounts.

4. Client Responsibilities


The Client agrees to:


Provide accurate and complete information necessary for the Company to perform the services.

Ensure timely access to relevant personnel, facilities, and resources as required.

Obtain any necessary permissions or consents required for the Company to perform the services.

5. Best Efforts


The Company agrees to use commercially reasonable efforts to perform the services outlined in the proposal or statement of work. While the Company will strive to achieve the desired outcomes, it does not guarantee specific results due to the inherent variability and complexity of engineering projects.


6. Confidentiality


Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation shall survive the termination of this Agreement.


7. Intellectual Property


Ownership: All reports, drawings, specifications, data, calculations, and other documents prepared by the Company are instruments of service and shall remain the property of the Company.

License: Upon full payment of fees, the Company grants the Client a non-exclusive license to use the deliverables for the purposes specified in the proposal or statement of work.

8. Limitation of Liability


To the fullest extent permitted by law, the Company's total liability to the Client for any claims arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Company. The Company shall not be liable for any indirect, incidental, or consequential damages.


9. Termination


Either party may terminate this Agreement with 30 days' written notice. In the event of termination, the Client shall pay for all services rendered and expenses incurred up to the termination date.


10. Governing Law


This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.


11. Entire Agreement


This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments to this Agreement must be in writing and signed by both parties.
